Recently, in July 2024, an ongoing legal battle between the Corporate Affairs Commission (CAC) and a newly formed association of lawyers called the Nigerian Law Society (NLS) became heated, following the Commission’s publication of a letter addressed to the Inspector-General of Police, alleging that the Association is carrying out criminal activities by opening an office, appointing national officers and opening an email address and a website, and calling on the police to prosecute the promoters of the Association. From the referenced letter, the position of the CAC appears to be that an association cannot lawfully operate in Nigeria without registration with the Commission.
Accordingly, this article briefly interrogates the lawfulness of an association operating in Nigeria without registration with the Corporate Affairs Commission in light of the position of the law, as well as the implications of operating as an unregistered association.
